Welcome to ThetaFlo. These Terms of Service ("Terms") govern your access to and use of the ThetaFlo platform, website, and all related tools and features (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree, you may not use the Service.

Please also read our Privacy Policy, which explains how we collect, use, and protect your personal data.

1. Eligibility

You must be at least 18 years old to use the Service. By creating an account, you represent and warrant that you are at least 18 years of age and that your use of the Service complies with all applicable laws in your jurisdiction.

2. Account Registration

To access most features of the Service, you must create an account. When you register, you agree to provide accurate and complete information, including your email address and username. You are responsible for maintaining the confidentiality of your password and for all activity that occurs under your account. You must notify us immediately at support@thetaflo.com if you believe your account has been compromised.

3. Description of Service

ThetaFlo is an AI-powered financial research platform. The Service allows you to submit queries and receive AI-generated research reports, data analysis, and related outputs ("Reports"). Reports are generated using artificial intelligence and machine learning technologies and are provided for informational purposes only.

4. Credits and Payments

4.1 Virtual Credits. The Service uses a virtual credit system ("Credits") to access certain features. Credits may be earned through account registration bonuses or purchased through the Service.

4.2 Purchases. Credit purchases are processed through a third-party payment processor. All fees are denominated in U.S. Dollars unless otherwise stated. By completing a purchase, you agree to pay the applicable fees and any taxes associated with the transaction.

4.3 No Refunds. All credit purchases are final and non-refundable, except as required by applicable law. Credits have no cash value and cannot be exchanged, transferred, or redeemed for cash.

4.4 Pricing Changes. We reserve the right to modify our pricing at any time. Changes to pricing will not affect credits that have already been purchased.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or third-party rights.
• Distribute, reproduce, or publicly display Reports or other Service content for commercial redistribution without authorization.
• Scrape, harvest, or extract data from the Service through automated means.
• Reverse engineer, decompile, or attempt to derive the source code or underlying algorithms of the Service.
• Interfere with or disrupt the integrity or performance of the Service.
• Attempt to gain unauthorized access to any part of the Service or its related systems.
• Use the Service to develop a competing product or service.
• Impersonate another person or misrepresent your affiliation with any entity.

6. Intellectual Property

6.1 Service. ThetaFlo and its licensors own all rights, title, and interest in and to the Service, including all associated intellectual property rights. These Terms do not grant you any right to use the ThetaFlo name, logo, or trademarks without our prior written consent.

6.2 Your Content. You retain ownership of the queries and inputs you submit to the Service. You grant ThetaFlo a limited license to use your inputs solely to provide and improve the Service.

6.3 Reports. Reports generated by the Service are provided for your personal or internal business use. You may not redistribute or resell Reports without authorization.

7. Disclaimers

7.1 Not Financial Advice. THE SERVICE AND ALL REPORTS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND DO NOT CONSTITUTE FINANCIAL, INVESTMENT, LEGAL, TAX, OR OTHER PROFESSIONAL ADVICE. YOU SHOULD NOT MAKE ANY FINANCIAL DECISIONS BASED SOLELY ON INFORMATION PROVIDED BY THE SERVICE. ALWAYS CONSULT A QUALIFIED PROFESSIONAL BEFORE MAKING INVESTMENT OR FINANCIAL DECISIONS.

7.2 No Guarantees. Reports are generated by artificial intelligence and may contain errors, inaccuracies, or outdated information. We do not warrant the accuracy, completeness, reliability, or timeliness of any Report or other content provided through the Service.

7.3 As-Is Basis. THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

8. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, THETAFLO AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE SHALL NOT EXCEED THE AMOUNT YOU HAVE PAID TO THETAFLO IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100), WHICHEVER IS GREATER.

9. Indemnification

You agree to indemnify, defend, and hold harmless ThetaFlo and its affiliates from and against any claims, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Service, your violation of these Terms, or your infringement of any third-party rights.

10. Termination

You may stop using the Service at any time. We reserve the right to suspend or terminate your account and access to the Service at our sole discretion, with or without notice, for any reason, including if we reasonably believe you have violated these Terms. Upon termination, your right to use the Service will immediately cease. We may, at our option, delete any data associated with your account.

11. Modifications to the Service

We may modify, suspend, or discontinue any part of the Service at any time, with or without notice. We shall not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

12. Changes to These Terms

We may update these Terms from time to time. When we make changes, we will update the "Last updated" date at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must stop using the Service.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the jurisdiction in which ThetaFlo is established, without regard to its conflict of law provisions.

14. Severability

If any provision of these Terms is found to be invalid or unenforceable, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and ThetaFlo regarding your use of the Service, and supersede any prior agreements or understandings.
